Pezeltech provides innovative technology solutions including software development, IT consulting, and managed IT services. We may update, modify, or discontinue Services or features at our sole discretion without prior notice.

You agree to use the Services only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Services. Prohibited conduct includes, but is not limited to:
* Engaging in any activity that is fraudulent, misleading, or deceptive.
* Posting or transmitting any unlawful, threatening, abusive, libelous, defamatory, obscene, vulgar, pornographic, profane, or indecent information of any kind.
* Transmitting any content that constitutes or encourages conduct that would constitute a criminal offense, give rise to civil liability, or otherwise violate any local, state, national, or international law.
* Interfering with or disrupting the integrity or performance of the Services or data contained therein.
* Attempting to gain unauthorized access to our systems or networks.

6. Intellectual Property
All content, features, and functionality on the Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, is the exclusive property of Pezeltech, its licensors, or other content providers and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
Your use of the Services does not grant you any ownership or intellectual property rights in any content, features, or functionality provided by Pezeltech.
7. User-Generated Content
If the Services allow you to post, upload, or submit content ("User-Generated Content"), you retain ownership of any intellectual property rights that you hold in that content. However, by posting, uploading, or submitting User-Generated Content, you grant Pezeltech a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, distribute, prepare derivative works of, display, and perform that User-Generated Content in connection with the Services and Pezeltech's (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Services (and derivative works thereof) in any media formats and through any media channels.
You represent and warrant that: (i) you own the User-Generated Content or have the necessary licenses, rights, consents, and permissions to grant the license set forth above; and (ii) the User-Generated Content does not violate any third-party rights, including intellectual property rights or privacy rights.
8. Disclaimers and Limitation of Liability
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. PEZELTECH DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
IN NO EVENT SHALL PEZELTECH, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
9. Indemnification
You agree to defend, indemnify, and hold harmless Pezeltech and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:
* Your use and access of the Services, by you or any person using your account and password.
* A breach of these Terms.
* Your violation of any rights of another, including intellectual property rights.
10. Governing Law and Dispute Resolution
These Terms shall be governed and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
11. Severability
If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
12. Entire Agreement
These Terms constitute the entire agreement between us regarding our Services, and supersede and replace any prior agreements, oral or otherwise, regarding the Services.
